Terms of Use

1. Acceptance of Terms

By accessing, signing in to, or operating the Exact LIMS platform (the “Service”), you agree to be bound by these Terms of Use. If you are accessing the Service on behalf of a licensed laboratory (a “Tenant”), you represent that you have the authority to bind such entity to these Terms. If you do not agree, you are prohibited from using the Service.

2. Eligibility & Access

The Service is intended exclusively for use by licensed clinical, pathological, chemical, and quality control laboratories, and their authorized personnel. Users must be registered by a laboratory administrator and assigned an appropriate role inside the Tenant laboratory workspace.

3. User Accounts & Session Security

You are responsible for safeguarding your login credentials. Password hashing is enforced via `bcryptjs`, and sessions are protected using JSON Web Tokens (JWT) secured via HTTP-only cookies. You agree to notify your laboratory administrator immediately of any unauthorized use of your credentials or breach of session integrity.

4. Laboratory Tenant Responsibilities

The Tenant laboratory is solely responsible for all administrative configuration and operational compliance:

• Role Management: Granting appropriate database permissions using Role-Based Access Control (RBAC).
• Equipment & Methods: Registering and calibrating diagnostic instruments, maintaining records, and defining standard testing methods.
• Quality Control: Establishing statistical control limits, uploading QC entries, and monitoring Levey-Jennings violation holds.
• Result Verification: Restricting diagnostic report sign-offs to authorized pathologists or reviewers (HODs) who are qualified under applicable regulations.

5. Individual User Responsibilities

When operating inside a workspace, you agree to:

• Provide accurate, verified patient demographics and sample parameter values.
• Submit electronic signatures with password verification when regulatory Part 11 requirements are active.
• Complete controlled document acknowledgements upon reading updated standard operating procedures.

6. Prohibited Activities

You may not:

• Attempt to bypass tenant isolation boundaries, view data of other laboratories, or access route handlers without holding correct RBAC permissions.
• Reverse-engineer or exploit any component of our REST API, JWT auth validation, or cloud database schemas.
• Upload malicious files, scripts, or binary attachments into the media upload storage.

7. Confidentiality & Security

Patient records and diagnostic reports stored in Exact LIMS constitute highly sensitive Protected Health Information (PHI). Users must maintain strict confidentiality of all customer details, test results, and audit trails. Platform administrators are bound by confidentiality protocols, and support-based laboratory impersonation is audited.

8. Medical & Diagnostic Disclaimer

Exact LIMS is an administrative data management tool.

Our software does not make clinical decisions, perform diagnostic interpretations, or provide medical advice. All testing results, reference values, and pathology reports generated by the Service must be reviewed, validated, and signed off by qualified clinical pathologists, medical directors, or licensed laboratory technicians before release.

9. Intellectual Property & Ownership

The Exact LIMS software architecture, database models, user interface, brand assets, and source code are the exclusive intellectual property of Exact LIMS and its licensors. Laboratories retain ownership of all patient, customer, and sample records generated within their tenant scopes.

10. Service Availability & Maintenance

We strive to maintain continuous availability of our cloud servers and REST APIs. However, the Service may be temporarily unavailable for scheduled maintenance, database backups, or emergency patches. We will notify laboratory administrators in advance of planned downtime.

11. Limitation of Liability

Exact LIMS, its developer team, and affiliates shall not be liable for any indirect, incidental, or consequential damages resulting from system downtime, data transmission failures, or errors in reports. We are not liable for clinical diagnoses, treatment decisions, or medical errors arising from values entered into the database by laboratory staff.

12. Suspension & Termination

We reserve the right to suspend or terminate a laboratory’s access to the Service in the event of a breach of these Terms, non-payment, or regulatory violations. Super-admins may suspend active Tenant laboratories, which blocks user authentication and refuses further database mutations.

13. Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of India. Any legal action, dispute, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
